Resident Director
Services

Supporting international companies to set up and operate compliantly in Australia from day one.

Meet Australia’s Resident Director Requirement from Day One

Every company registered in Australia must have at least one director who ordinarily resides in Australia.

For international businesses without a local team already in place, this requirement can stall a market entry before it even begins.

Ascentium appoints experienced Resident Directors so your Australian entity is compliant from the date of registration, backed by a full advisory team across tax, corporate secretarial, and finance.

What Is a Resident Director and Why Does Australia Require One?

The requirement exists so that there is someone locally accountable for the company’s governance, reporting, and dealings with regulators such as ASIC and the ATO. It applies from the date of registration and must be maintained for the life of the entity.

A Statutory Requirement

A proprietary limited (Pty Ltd) company must have at least one director who ordinarily resides in Australia. A public company must have at least two.

How We Appoint Your Resident Director

We handle the appointment as part of your company registration, so there are no delays at setup, and the scope and boundaries of the role are documented before anyone is appointed.
Step 1

Onboarding and Scoping

We complete our onboarding requirements and confirm the structure you need, whether a Pty Ltd subsidiary, a foreign branch, or both.

Step 2

Director Services Agreement and Deed of Indemnity

The scope of the appointment and the boundaries of liability are formally documented in a Director Services Agreement and Deed of Indemnity before the appointment begins.

Step 3

Appointment Alongside Registration

The Resident Director is appointed in conjunction with your company registration. ASIC processes a standard Pty Ltd registration within one to three business days.

Step 4

Ongoing Compliance and Correspondence

Your Resident Director / Public Officer acts as the locally accountable person for ASIC and ATO correspondence and authorises the appointment and statutory notices on time.

Step 5

Transition to an In-House Director

When you have a suitable person in Australia willing and qualified to act, we cease the appointment and manage the ASIC lodgement to formalise the change.

What Our Clients Are Saying

Frequently Asked Questions (FAQs)

A Resident Director’s primary role is to satisfy the statutory residency requirement under the Corporations Act. Their details appear on ASIC’s public register and they are formally named as a director of the company. For a foreign subsidiary, day-to-day operations remain with your overseas leadership, while the Resident Director acts as the locally accountable person.
