To register a company with ASIC, you will need a proposed company name, a registered Australian business address, details of directors and shareholders, and your proposed share capital structure. At least one director must be ordinarily resident in Australia. Once ASIC receives the required documentation, the registration process typically takes 2 to 3 weeks. 

Foreign investors can establish a proprietary limited company (Pty Ltd) as a subsidiary, the most common structure, allowing 100% foreign ownership with full tax benefits. Alternatively, a foreign company can register a branch office with ASIC. A representative office structure is also available for market research and pre-commercial activities before committing to full operations.

The full establishment process, including bank account opening and tax registrations, typically completes within 2 to 3 weeks from submission of complete documentation, with ABN and TFN following over subsequent weeks.

Directors must be tax residents of Australia (present for at least 183 days per year), sign an annual solvency resolution, and pay the annual ASIC review fee. Directors are also subject to statutory duties including duty of care and diligence, acting in good faith and in the best interests of the company, preventing insolvent trading, compliance with all applicable laws, financial oversight, and accountability to shareholders.
