​SEC MC No. 21: Paperless Filing for Amendment Applications via the eAMEND Portal

​The Securities and Exchange Commission recently released Memorandum Circular No. 21, Series of 2026, which moves qualified amendment applications away from traditional over-the-counter, paper-based submission to a fully digital process. Under the new guidelines, covered applications must now be filed electronically through the eAMEND Portal, allowing applicants to complete these transactions online. As a result, hard copies of documents will no longer be required for these filings, unless the Commission specifically directs otherwise. ​This circular forms part of the Commission's ongoing efforts to modernise its registration and filing processes, reduce administrative burden, and deliver a faster, more reliable service to the corporate community.

Applications Covered

​The circular applies to select amendment applications processed by the Commission. Covered transactions typically include:

  • ​Amendments to the Articles of Incorporation
  • ​Amendments to the By-Laws
  • ​Related corporate amendment transactions identified by the SEC as eligible for paperless filing

​Corporations are advised to confirm the specific transactions covered by referring to the full text of the circular before initiating any filing.

**Note: Paperless filing through the eAMEND Portal is optional for covered transactions. Corporations that prefer traditional over-the-counter submission may still do so where applicable, in accordance with existing SEC procedures.

Compliance Obligations for Covered Corporations

​All covered corporations and their authorized representatives are expected to:

  • Register for and maintain access to the eAMEND Portal.
  • File covered amendment applications exclusively through the portal, following the prescribed formats and requirements.
  • Ensure that all uploaded documents are complete, accurate, and properly executed.
  • Monitor the status of submissions through the portal and respond promptly to any notices from the Commission.
​Failure to observe the guidelines may result in delay or non-acceptance of applications. Corporations are encouraged to familiarise themselves with the procedures at the earliest opportunity to ensure a smooth transition.​
