Before submitting any incorporation application, all legal prerequisites must be met. A non-compliant application will be rejected by ACRA, and delays can be costly.
At least one director must ordinarily reside in Singapore as a citizen, permanent resident, or holder of a valid Employment Pass or EntrePass. If you are based overseas, you will need to appoint a nominee director through a registered Corporate Service Provider (CSP).
From June 2025, all nominee director arrangements must be made through an ACRA-registered CSP under the Corporate Service Providers Act 2024.
A Singapore Pte Ltd must have at least 1 shareholder. They can be individuals or corporate entities. Importantly, 100% foreign ownership is permitted; under Singapore law, no local co-investor or partner is required.

New companies continue to receive exemptions of up to S$125,000 across their first three Years of Assessment: 75% on the first S$100,000 of chargeable income and 50% on the next S$100,000.
