The Positive Investment List has opened most sectors to full foreign ownership through a PT PMA structure. At the same time, the OSS-RBA system has consolidated licensing into a single risk-based platform. For businesses seeking regional scale rather than a regional office, Indonesia offers domestic depth that most ASEAN markets cannot match.
Establishing a PT PMA typically takes several weeks from the point all shareholder and director documents are complete. The sequence runs through name reservation, a notarised Deed of Establishment, Ministry of Law approval, issuance of the NPWP tax identification number, and the NIB business identification number via OSS-RBA. Timelines vary with your KBLI classification, whether the activity is medium- or high-risk, the location of the project, and whether sector licenses, environmental approval, or bank account opening are required in parallel.

No. Foreign shareholders are not required to reside in Indonesia to own a PT PMA, and most sectors on the Positive Investment List permit full foreign ownership. A PT PMA must, however, appoint at least one director and one commissioner, maintain a registered address matching its licensed activity, and satisfy the minimum investment plan set by BKPM. Any foreign national working in the company day-to-day will separately require RPTKA approval and a work permit with KITAS.
Indonesian companies carry continuous statutory obligations. These generally include monthly and annual tax filings through Coretax, BPJS Kesehatan and Ketenagakerjaan registration and contributions, periodic LKPM investment realization reporting to BKPM, maintenance of accounting records and annual financial statements, an annual general meeting of shareholders, and renewal of sector licenses. Depending on activity, companies may also need environmental approval, halal or SNI certification, or product licenses.
