SP2DK in Indonesia: What Companies Need to Know Before Responding

Receiving an SP2DK can raise immediate concern, but it does not mean the company is already under a tax audit. SP2DK is a clarification stage where the Directorate General of Taxes (DJP) asks a company to explain data, figures, or transactions that appear inconsistent in its system, including information from up to the past five years.

The trigger is often a data mismatch, but a mismatch does not automatically mean the company has made a tax error. Differences may come from timing, reporting classifications, incomplete supporting documents, or data submitted by another party. Common areas include VAT, withholding tax, corporate income tax, transfer pricing, import data, shareholder loans, and capital injections.

After receiving the letter, the company has up to 14 days to provide clarification and supporting documents. The priority is to understand exactly what DJP is questioning, identify the relevant tax period and transaction, and align the tax, accounting, finance, and supporting records before responding.

A strong response connects the facts, numbers, documents, and business context clearly. Depending on the issue, the company may need to explain a timing difference, defend a supported tax position, correct a reporting mistake, challenge incomplete DJP data with evidence, or carry out more technical analysis for complex transactions.

SP2DK is an important early stage for resolving potential tax issues. If concerns remain unresolved, the matter may move beyond clarification toward a formal tax audit and later tax dispute stages.
