Beyond Compliance: How Corporate Governance Shapes Culture and Performance

Written by Cameron Petricivec | 08 January 2025

Strong corporate governance (CG) has long been recognised as a strategic enabler of performance. Companies with high-performing governance frameworks deliver better outcomes across key financial metrics: For example, doubling shareholder returns, generating 43% higher EBIT, and delivering cash flows 3.4 times greater than their peers. But while these first-order benefits are well understood, they represent just one part of the value story.

What’s less often acknowledged is that good governance also unlocks second-order benefits: deep, organisation-wide cultural impacts that enhance integrity, trust, and resilience. As organisations navigate increasingly complex regulatory and ethical environments, the role of governance in shaping workplace culture, particularly in fostering workplace integrity, cannot be overstated.

The Governance–Culture Flywheel

At its core, corporate governance provides the scaffolding for decision-making, accountability, and transparency. When executed well, it both promotes excellence and prevents risk. One of the most powerful, yet often overlooked, outcomes is the cultivation of workplace integrity.

Governance frameworks, when aligned with ethical leadership and organisational values, set the tone from the top. They create an ecosystem where:

  • Leaders act in accordance with the company’s purpose and principles
  • Reporting processes are fair, transparent, and safe
  • Employees feel psychologically safe to speak up
  • Expectations for ethical conduct are clear, consistent, and enforced

The result is a culture of trust. And that trust, in turn, reinforces the effectiveness of the governance system, and that can be considered like a flywheel that strengthens both ethical performance and organisational resilience over time.

Why Workplace Integrity Matters

“Workplace integrity” refers to an employee’s ability to act in line with organisational values, even when no one is watching. When integrity becomes embedded into the culture, businesses are more likely to foster loyalty, innovation, and performance.

In contrast, where governance is performative or piecemeal, cracks form. Employees may feel disempowered to speak up. Processes may exist but lack legitimacy or transparency. This is where first-order compliance fails to deliver second-order cultural outcomes.

Strong CG frameworks offer a solution. By embedding ethical considerations into reporting structures, leadership development, and performance management, organisations move beyond tick-box compliance to something more enduring, with a shared sense of responsibility.

From Framework to Flourishing: The Cultural Cascade

Let’s take a closer look at how good corporate governance cascades through the business to enable integrity and performance:

  1. Ethical leadership sets the tone: Board and executive leadership play a pivotal role in shaping the ethical climate. A governance framework that supports accountability, transparency, and ethical role-modelling enables leaders to set (and live by) clear expectations. When employees see their leaders acting with integrity, they are far more likely to do the same.
  2. Transparent processes encourage reporting: One of the most significant cultural barriers in any organisation is the fear of speaking up. Good governance eliminates ambiguity around how misconduct is reported, investigated, and resolved. It establishes safe channels for disclosure, sets out protections against retaliation, and, critically, ensures visible follow-through. This builds employee confidence that ethical breaches will be addressed, not ignored.
  3. Accountability drives trust: Where governance systems are clear and consistently applied, employees understand that actions have consequences. This consistency breeds fairness and trust. It also empowers managers to lead more effectively, knowing they are supported by robust policies and a clearly articulated code of conduct.
  4. Cultural feedback loops improve performance: A transparent, ethical culture creates its own momentum. As trust grows, so does engagement. As engagement grows, so too does innovation, collaboration, and discretionary effort. In this way, workplace integrity becomes a self-reinforcing mechanism that improves both cultural and commercial outcomes.

The Untapped Strategic Asset

Most governance frameworks are designed with a risk lens. But they should also be viewed through a growth lens. If CG can drive EBIT, shareholder return, and cashflow, imagine the strategic advantage of also using it to drive integrity, trust, and discretionary effort.

For example, an organisation that actively nurtures workplace integrity is better positioned to:

  • Attract and retain top talent who value purpose and accountability
  • Avoid reputational damage stemming from ethical breaches or cultural failures
  • Meet regulatory obligations in a proactive and demonstrable manner
  • Respond more quickly to change, due to higher internal trust and cohesion
  • Foster inclusive leadership practices that reduce risk and improve decision-making

In other words, workplace integrity is not a “nice to have”—it is a performance lever. And it starts with governance.

At Ascentium Australia, we believe that the best governance frameworks do more than protect. They also enable. They enable performance, transparency, integrity, and a thriving workplace culture.

The companies that succeed in the next decade won’t just be those with well-documented governance policies. They’ll be the ones that understand and unlock the second-order benefits of good governance, which includes the quiet, compounding advantages of trust, fairness, and integrity.

Because ultimately, workplace integrity isn’t a consequence of culture. It’s the outcome of governance done right.
